1. Agreement to these Terms

These Terms of Service ("Terms") are a binding legal agreement between you ("you", "your") and Michael Wesley Schiff (an individual trading as a sole proprietor under the name Reel Neet Solutions) ("we", "us", "our", or "Provider"), governing your access to and use of Reel Neet Accounts at `accounts.reelneetsolutions.com`: the account you hold with us, the single sign-in it gives you across Reel Neet's apps, the invitations and access grants attached to it, and the pages at that address (together, the "Service").

These Terms cover your account and sign-in only. Each Reel Neet app you are given access to has its own terms for what that app does. Where these Terms and an app's own terms both speak to something, that app's terms govern your use of the app, and these Terms govern your account and your sign-in.

There is no public sign-up. You get an Account only when an admin invites you. You accept these Terms when you accept your invite, by ticking the box on the invite page that says you agree to them, and we record that you did. If you do not agree to these Terms, do not accept the invite.

If your Account was carried over into the Service from an earlier Reel Neet sign-in (for example Worth Saying, the company wiki or the hub), you accept these Terms when you first sign in to the Service, and your continued use is acceptance of this version.

If you are a Guest commentator, these Terms bind you too. You do not set a password. The page your Invite link opens shows you these Terms, and you accept them by agreeing there, and we record that you did. If you do not agree, do not enter. Where these Terms say "you", they include you, except where a term is about a Member's Account, which a Guest commentator does not have.

If you are a Call-in guest, the page your link opens belongs to Worth Saying, and the terms you agree to there are Worth Saying's. We keep the record of your invite, as our Privacy Policy explains; you do not hold an Account.

We may require you to re-accept these Terms after a material change, and continued use after notice of a change constitutes acceptance of the changed Terms.

2. Definitions

3. Accounts and access

3.1 Access is by invitation only

Nobody may sign up. An Admin, or an App admin for their own App, invites a named person by giving us that person's name and email address, and the App and Role they are to have. The Invite is emailed to that address. Accepting it means choosing a password that meets our rule and agreeing to these Terms; you are then a Member, signed in, with that Grant.

If you already hold an Account and are invited into another App, the Grant is added to your Account and we tell you by email; there is nothing to accept.

Each Account belongs to one named person, and your Account is personal to you.

3.2 What a Grant gives you

A Grant lets you into one App with one Role, and nothing more. What that Role may do inside the App is decided by the App and its App Terms, not by the Service. Holding an Account does not, by itself, let you into any App: a Member with no Grants can sign in but can enter nothing.

A Grant may end on a date set when it is given. When it ends you lose access to that App on your next visit, even while you stay signed in to others. A Guest commentator's access ends at the end of their show, and every device their Invite opened is signed out then.

3.3 If you invite people

If you are an Admin or an App admin and you invite someone, you confirm that:

You may not give yourself a Grant or change your own Grant. You must withdraw an Invite, or remove a Grant, when the person no longer needs it.

3.4 You must not share access

You must not:

The Service exists to put an authentication boundary around Reel Neet's apps deliberately. Sharing access, including forwarding an Invite link, is a material breach of these Terms and may result in immediate termination without notice. An Invite link that has been forwarded or has leaked is revoked.

3.5 Account security

You are responsible for keeping your password confidential and for all activity that occurs under your Account. You must notify us immediately at mschiff05@gmail.com if you believe your credentials have been compromised, or if you lose a device holding a signed-in session. You can change your password, and sign out everywhere to end every session you hold, yourself on your account page; do so first. We can also end every session you hold at any time.

Your one sign-in opens every App you hold a Grant for. Signing in on a shared or public device, and not signing out, leaves all of them open to the next person.

The Service does not offer two-factor sign-in. Passwords must be at least 8 characters, and a commonly used password is refused. Choose a password you use nowhere else.

If you are a Guest commentator, your Invite link is your credential: anyone who opens it can enter as you until it ends. Keep it confidential, and if it may have reached anyone else, tell the person who invited you or write to us, so that it can be reissued; reissuing ends the old link and signs out every device it opened.

3.6 We may withdraw access at any time

Access is a revocable permission, not a right. We may suspend or terminate your Account, remove or shorten any Grant, or withdraw or revoke any Invite, at any time, for any reason or no reason, with or without notice, and in particular where we believe these Terms or any App Terms have been breached. An Admin may suspend an Account: a suspended Account cannot sign in and every session it held ends, but the Account and its Grants are kept, and an Admin may lift the suspension. You have no entitlement to continued access, to any particular App or Role, to a minimum period of access, or to notice before withdrawal.

4. What the Service is — and what it is not

The Service identifies you to Reel Neet's Apps and tells each App the Role you hold in it. It is not the App. It does not decide what you may see or do inside an App beyond letting you in, and it is not responsible for any content, data, score, research, file or instruction an App shows you. Those are governed by the App's own terms.

5. Acceptable use

You must not:

1. share access, credentials or links as described in Section 3.4; 2. use the Service for any purpose other than signing in to, and administering access to, the Apps for your work with Reel Neet; 3. invite, or grant access to, anyone in breach of Section 3.3; 4. attempt to sign in as anyone else, guess passwords or Invite links, or use the sign-in, password-reset or invite pages to discover who holds an Account; 5. scrape, crawl or use any automated means to access the Service, other than an App's own ordinary use of it; 6. attempt to access any endpoint, route, API, service or system beyond those the Service exposes to you, or probe, scan or test the security of any part of it; 7. interfere with, overload or disrupt the Service or the networks it depends on; 8. reverse engineer, decompile or attempt to derive source code from any part of the Service, except to the extent this restriction is unenforceable under applicable law; 9. use any personal information you see in the Service as an Admin or App admin — another person's name, email address or access — for any purpose other than administering access to the Apps; or 10. use the Service in a way that is unlawful, harassing, or in breach of any contractual obligation you are subject to.

6. Confidentiality

Who holds an Account, and who has access to which App, is confidential. If you are an Admin or an App admin, you must not disclose what you see on the admin page outside your work administering access. This obligation survives termination of your Account.

7. Intellectual property

7.1 Our rights

The Service, and all software, design, layout, text, brand names, logos and trade dress within it, are owned by us or our licensors and are protected by intellectual property law. Nothing in these Terms transfers any ownership to you.

7.2 Your licence

We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service to sign in to the Apps you hold Grants for, and, if you are an Admin or App admin, to administer access to them, for the duration of your access. That licence ends automatically when your access ends.

8. Availability

The Service is provided on a best-efforts basis with no service level commitment of any kind. It runs on a single server with no redundancy and depends on hosting, email delivery and upstream infrastructure that we do not control. It may be unavailable, slow or degraded at any time.

When the Service is unavailable, you may be unable to sign in to any App, and an email you are waiting for (an Invite, a reset link) may be late or may not arrive. If email is not working, we may be unable to send Invites or password resets at all, although signing in still works.

We may modify, suspend, limit or discontinue the Service or any part of it at any time without notice or liability. We do not guarantee that any App will remain available through the Service.

You must have a fallback. Do not build a workflow, and in particular a live broadcast, that cannot proceed if you cannot sign in.

9. Third-party services

The Service depends on third parties, including our hosting provider, our email delivery provider and our domain name provider. We do not control them, do not warrant their availability, and are not responsible or liable for their acts, omissions, failures or changes. Our Privacy Policy names them and says what each receives.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; ANY EMAIL WILL BE DELIVERED, OR DELIVERED IN TIME; YOU WILL BE ABLE TO SIGN IN TO ANY APP WHEN YOU NEED TO; OR ANY DEFECT WILL BE CORRECTED.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICE, CREATES ANY WARRANTY NOT EXPRESSLY STATED HERE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(a) IN NO EVENT SHALL Michael Wesley Schiff, ITS OWNER, PERSONNEL, CONTRACTORS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, REPUTATION, OPPORTUNITY, ENGAGEMENT, CONTRACT OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(b) WITHOUT LIMITING (a), WE SHALL HAVE NO LIABILITY WHATSOEVER FOR: ANY INABILITY TO SIGN IN TO ANY APP, INCLUDING DURING A LIVE BROADCAST OR COMPETITION; ANY EMAIL THAT IS LATE OR NOT DELIVERED; ANY WITHDRAWAL, SUSPENSION OR CHANGE OF YOUR ACCESS OR OF ANY GRANT; ANY ACCESS GAINED BY A PERSON TO WHOM YOU GAVE, FORWARDED OR EXPOSED YOUR PASSWORD, YOUR SESSION OR YOUR INVITE; ANY DAMAGE TO YOUR PROFESSIONAL REPUTATION OR RELATIONSHIPS; OR ANY LOSS OF AN ENGAGEMENT, ACCREDITATION OR CONTRACT.

(c) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (i) THE TOTAL AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS (US$100). YOU ACKNOWLEDGE THAT THE SERVICE IS PROVIDED TO YOU AT NO CHARGE AND THAT THIS LIMITATION IS A FUNDAMENTAL BASIS OF THAT ARRANGEMENT.

(d) Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In those jurisdictions our liability is limited to the maximum extent permitted by law, and nothing in these Terms excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.

(e) These limitations apply regardless of whether the Service is provided free of charge, and survive any failure of essential purpose of any limited remedy.

12. Indemnification

You agree to defend, indemnify and hold harmless Michael Wesley Schiff, its owner, personnel, contractors and licensors from and against all claims, demands, actions, proceedings, losses, damages, liabilities, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to:

1. your breach of these Terms, including Sections 3.3 (inviting people), 3.4 (sharing access), 5 (acceptable use) and 6 (confidentiality); 2. any access to an App gained through your Account, your session or your Invite by a person you allowed, or enabled, to use it; 3. any Invite or Grant you gave in breach of Section 3.3, including any claim by the person you invited about the use of their name or email address; 4. your violation of any law or third-party right; or 5. any dispute between you and any third party arising from your use of the Service.

13. Term and termination

These Terms apply for as long as you hold an Account or an Invite and, for the provisions that by their nature should survive, afterwards.

We may terminate or suspend your access immediately and without notice. Suspension is reversible: an Admin may lift it (Section 3.6).

You may stop using the Service at any time. You can delete your Account yourself from your account page, with your password, or ask us to delete it by writing to mschiff05@gmail.com. An Admin may also delete it. If you are the last Admin, you must make someone else an Admin first. Deleting an Account removes your name, email address, password and every Grant, and ends every session you hold. We keep a record that an Account with that internal identifier was deleted, and by whom, so that an App can show what you wrote there as written by "a former commentator" (or a similar phrase) rather than by you. The Privacy Policy, Section 8, says exactly what is kept, and each App's own policy says what that App keeps.

A Guest commentator's access ends by itself when their Invite ends. A Guest commentator has no account page, and may ask us to delete what we hold by writing to mschiff05@gmail.com.

On termination: your licence under Section 7.2 ends immediately, and you must stop using the Service. Ending your Account ends your access to every App it opened.

Sections 3.4, 5, 6, 7, 10, 11, 12, 14, 15 and 16 survive termination.

14. Governing law and disputes

These Terms are governed by the laws of the State of Iowa, United States, without regard to its conflict of laws rules.

You and we agree to try in good faith to resolve any dispute informally first, by writing to mschiff05@gmail.com and allowing thirty (30) days for a response.

If a dispute is not resolved informally, you and we agree that it shall be brought exclusively in the state or federal courts located in the State of Iowa, and you and we each consent to the personal jurisdiction of those courts and waive any objection to that venue.

TO THE EXTENT PERMITTED BY LAW, YOU AND WE EACH WAIVE ANY RIGHT TO A TRIAL BY JURY AND ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION.

Any claim must be brought within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.

15. Changes to these Terms

We may change these Terms. If a change is material, we will make reasonable efforts to notify you at the email address on your Account or Invite, or by a notice within the Service, before it takes effect. The "Last updated" date at the top of this document always reflects the current version. Continued use after a change takes effect constitutes acceptance. If you do not accept a change, stop using the Service and delete your Account.

16. General

Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including network or power failure, hosting, email or upstream provider failure, venue connectivity, weather, acts of government, labour action, or cancellation or alteration of a competition.

Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the rest of these Terms remain in full force.

No waiver. Our failure to enforce any provision is not a waiver of it.

Assignment. You may not assign or transfer these Terms, your Account, any Grant or your Invite. We may assign these Terms in connection with a merger, acquisition or sale of assets.

No third-party beneficiaries. These Terms create no rights in any person other than you and us.

Relationship. Nothing in these Terms creates an employment, partnership, joint venture or agency relationship. Being given an Account or a Grant is not an offer of work, and these Terms do not govern any separate engagement, booking or contract between you and us, a production, an organiser or a rights holder.

Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service, and supersede all prior understandings about it. Each App's own terms remain in force for that App.

Notices under these Terms are given by email. Notice to you is effective when sent to the address on your Account or Invite; notice to us is effective when sent to the address above. If you require a postal address for formal service, ask and we will provide one.
